14. Dispute Resolution and Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of any Auduvant product (collectively, "Disputes") shall be resolved through binding individual arbitration rather than in court, except that either party may bring claims in small claims court if the claim qualifies.

You and Auduvant Technologies agree to waive any right to a jury trial and to participate as a plaintiff or class member in any class action lawsuit, class-wide arbitration, or representative proceeding.

Arbitration shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules. Arbitration will take place in Michigan, United States, or remotely if both parties agree. Each party shall bear its own legal costs unless the arbitrator determines otherwise under applicable rules.

This clause does not prevent either party from seeking emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or to prevent irreparable harm pending arbitration.

If any portion of this arbitration provision is found unenforceable, the remaining portions shall continue to apply. If the class action waiver is found unenforceable, the entire arbitration clause shall be null and void as to that claim only.

B. Marketing and Corporate Sites (www.genvium.com)

Unlike our desktop application and web application, our public website at www.genvium.com does collect certain standard technical and user-submitted data to function properly.
